Agreement to Terms

By accessing or using the services provided by Mimic ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

Description of Services

Mimic provides AI-powered voice receptionist services for medical and dental practices, including automated call answering, appointment scheduling, and patient inquiry handling ("Services").

Eligibility

Our Services are intended for licensed medical and dental practices and their authorized representatives. By using our Services, you represent that you have the authority to bind the practice to these terms.

Account Responsibilities

  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You agree to provide accurate and complete information when setting up your account.
  • You agree to comply with all applicable laws, including HIPAA, when using our Services.

AI Disclaimer

The Services use artificial intelligence and natural language processing, which may occasionally produce inaccurate or unexpected responses. Client remains solely responsible for clinical decisions and patient care. Mimic is a communication tool and does not provide medical advice, diagnosis, or treatment recommendations.

Data Ownership

Client owns all data provided by or generated on behalf of Client through the Services ("Client Data"). We do not claim ownership of your data.

Mimic shall not use Client Data to train artificial intelligence or machine learning models. This restriction is a binding obligation under all customer agreements.

Mimic may collect de-identified, aggregated usage data (such as call volumes, feature usage, and performance metrics) for internal operations and service improvement. Such data will not identify any individual patient or practice.

Fees and Payment

Fees for our Services are described on our Pricing page and in your service agreement. Fees are billed monthly and are due upon receipt of invoice. We reserve the right to change fees with 30 days' written notice.

In the event of a failed payment, you will have five (5) business days to cure the failed payment before we may suspend access to the Services.

Term and Termination

The agreement is month-to-month. Either party may terminate with thirty (30) days' written notice. No annual contracts are required and no penalties apply for termination.

Upon termination, we will retain your data for sixty (60) days during which you may request a data export in a standard, machine-readable format at no additional cost. After the retention period, your data will be securely deleted unless retention is required by law.

HIPAA Compliance

Where our Services involve the processing of Protected Health Information (PHI), we will enter into a Business Associate Agreement (BAA) with you before accessing any patient data. We comply with all applicable provisions of HIPAA, the HITECH Act, and related regulations.

Limitation of Liability

To the maximum extent permitted by law, Mimic's total liability for any claims arising from the use of our Services shall not exceed the total fees paid by you during the twelve (12) months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

Indemnification

Mimic and Client each agree to mutual indemnification. Mimic will indemnify Client against claims arising from intellectual property infringement and gross negligence in providing the Services. Client will indemnify Mimic against claims arising from Client's misuse of the Services or violation of applicable laws.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, government actions, or infrastructure failures. If a force majeure event continues for more than fifteen (15) days, either party may terminate the affected services.

Intellectual Property

All intellectual property rights in our Services, including software, content, and trademarks, remain with Mimic. You retain ownership of your data. You grant us a limited license to use your data solely for the purpose of providing our Services.

Modifications to Terms

We may modify these terms at any time. Material changes will be communicated with at least 30 days' notice. Continued use of the Services after changes take effect constitutes acceptance of the modified terms.

Governing Law

These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these terms shall be resolved in the state or federal courts located in the State of Delaware. Both parties consent to the exclusive jurisdiction and venue of those courts.
